1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and SRSS Technology Services Ltd ("Company," "we," "us," or "our"), governing your use of our website, products, and services.
By accessing our website at srsstechservices.com or engaging our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our website or use our services.
2. Services Offered
SRSS Technology Services Ltd provides the following services:
- Software Development: Custom software solutions, mobile applications, and enterprise systems
- Web Design & Development: Website creation, e-commerce platforms, and web applications
- IT Consulting: Technology strategy, digital transformation, and system optimization
- Hardware Services: Computer repairs, upgrades, and maintenance
- Network Solutions: Network design, installation, and security
- AI Products: Including SRSS AI Secretary and other AI-powered solutions
3. Project Engagement
3.1 Quotations and Proposals
All quotations and proposals provided by us are valid for 30 days from the date of issue, unless otherwise stated. Prices are subject to change based on project scope modifications.
3.2 Project Commencement
Projects will commence upon:
- Written acceptance of our proposal/quotation
- Payment of the agreed deposit (typically 50% of project cost)
- Receipt of all necessary project materials and information from the client
3.3 Project Timeline
Estimated project timelines are provided in good faith but may be affected by:
- Scope changes or additional requirements
- Delays in client feedback or approvals
- Availability of required materials or information
- Unforeseen technical challenges
4. Payment Terms
4.1 Payment Structure
Unless otherwise agreed in writing:
- Deposit: 50% of total project cost upon agreement
- Milestone Payments: As agreed in the project proposal
- Final Payment: Remaining balance upon project completion
4.2 Payment Methods
We accept payment via:
- Bank transfer
- Online payment platforms
- Other methods as agreed
4.3 Late Payment
Late payments may result in:
- Suspension of ongoing work
- Interest charges at 5% per month on overdue amounts
- Withholding of deliverables until payment is received
5. Intellectual Property
5.1 Client Materials
You retain all rights to materials you provide to us (logos, content, images, etc.). You grant us a license to use these materials solely for the purpose of delivering the agreed services.
5.2 Deliverables
Upon full payment:
- You will own the custom work created specifically for your project
- We retain ownership of pre-existing code, libraries, and frameworks used in development
- We may use generic, non-confidential aspects of the work in our portfolio
5.3 Third-Party Components
Projects may include third-party software, plugins, or libraries subject to their own licenses. We will inform you of any such components and their licensing terms.
6. Client Responsibilities
You agree to:
- Provide accurate and complete information required for the project
- Respond to requests for feedback and approvals in a timely manner
- Ensure you have the rights to any materials you provide
- Make payments according to the agreed schedule
- Designate a primary point of contact for the project
- Review and test deliverables promptly
7. Revisions and Changes
7.1 Included Revisions
Each project includes a reasonable number of revisions as specified in the project proposal. Revisions must be requested within 14 days of receiving deliverables.
7.2 Additional Changes
Changes beyond the agreed scope or after the revision period will be quoted separately and may affect the project timeline and cost.
7.3 Scope Creep
Significant changes to project requirements ("scope creep") will require a change order with revised timeline and pricing.
8. Warranties and Support
8.1 Warranty Period
We provide a 30-day warranty period after project completion during which we will fix any bugs or issues in our work at no additional cost.
8.2 Ongoing Support
Support and maintenance beyond the warranty period can be arranged under a separate maintenance agreement.
8.3 Exclusions
Warranty does not cover issues caused by:
- Client modifications to the deliverables
- Third-party software or hosting issues
- Misuse or unauthorized access
- Force majeure events
9. Confidentiality
Both parties agree to:
- Keep confidential information private and secure
- Not disclose confidential information to third parties without consent
- Use confidential information only for the purposes of the project
- Return or destroy confidential materials upon request
Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties.
10. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the amount paid for the specific service giving rise to the claim
- We shall not be liable for indirect, incidental, special, or consequential damages
- We shall not be liable for loss of profits, data, business opportunities, or goodwill
- We are not responsible for third-party services, hosting, or domain issues
11. Termination
11.1 Termination by Client
You may terminate the agreement at any time by providing written notice. Upon termination:
- You will pay for all work completed up to the termination date
- Deposits are non-refundable
- You will receive deliverables for work paid in full
11.2 Termination by Company
We may terminate the agreement if:
- Payment is not received within 30 days of due date
- You breach any material term of this agreement
- The project becomes impossible or impractical to complete
12. Dispute Resolution
In the event of a dispute:
- Negotiation: Both parties shall first attempt to resolve the dispute through good-faith negotiations
- Mediation: If negotiation fails, the dispute may be referred to mediation
- Legal Action: If mediation fails, either party may pursue legal remedies
This agreement shall be governed by the laws of the Federal Republic of Nigeria. Any legal proceedings shall be conducted in courts of competent jurisdiction in Delta State, Nigeria.
13. Website Terms
13.1 Use of Website
By using our website, you agree not to:
- Use the website for any unlawful purpose
- Attempt to gain unauthorized access to any part of the website
- Interfere with the proper functioning of the website
- Copy, reproduce, or distribute website content without permission
13.2 Website Content
All content on our website (text, images, designs, logos) is owned by SRSS Technology Services Ltd and protected by intellectual property laws. You may not use our content without express written permission.
14. Indemnification
You agree to indemnify and hold harmless SRSS Technology Services Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses arising from:

- Your use of our services
- Materials you provide that infringe third-party rights
- Any illegal or unauthorized use of our deliverables
15. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, war, terrorism, strikes, government actions, pandemics, or internet/power outages.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with any project proposals and agreements, constitute the entire agreement between you and SRSS Technology Services Ltd. Any modifications must be made in writing and signed by both parties.
18. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.
